1. Acceptance of Terms

By accessing or using StockTrendz AI™ ("StockTrendz AI™", "the Service," "the Platform," "Entity," "we," "us," "our"), you ("the User," "the Customer") acknowledge that the User have read, understood, and agree to be legally bound by these Terms of Service ("Terms"), along with our Privacy Policy, and any other policies referenced herein. These Terms constitute a legally binding agreement between the User and StockTrendz AI™ under the Information Technology Act, 2000, as amended from time to time, and any other applicable Indian laws in force from time to time.

If the User does not agree to these Terms, please do not access or use the Service. We reserve the right to modify these Terms at any time. Continued use after posting of changes constitutes your acceptance of the updated Terms. Users are advised to review these Terms periodically.

By clicking "I Agree," creating an account, or accessing the Service, you acknowledge that you have read and understood these Terms and agree to be legally bound. This electronic acceptance constitutes valid and binding consent under the Information Technology Act, 2000.

2. Eligibility

You must be at least 18 years of age and a resident of India or otherwise capable of entering into a binding contract under the Indian Contract Act, 1872, as amended from time to time, to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

If the User accesses or uses the Service on behalf of any company, partnership, LLP, firm, or other legal entity, you represent and warrant that you are duly authorised to act on behalf of such entity and to legally bind that entity to these Terms. In such cases, all references to "User" shall include both you individually and the entity you represent.

3. Nature of Service — Not Investment Advice

StockTrendz AI™ provides AI-powered technical chart pattern analysis, market data visualization, sector strength indicators, and stock screening tools strictly for informational and educational purposes only.

The Service solely detects and displays predefined technical formations and data outputs generated through automated algorithmic processes. The Platform does not provide opinions, interpretations, recommendations, or investment advice regarding the purchase, sale, or holding of any securities or financial instruments.

Nothing available on the Platform shall be construed as "investment advice."

The Service does NOT:

• Constitute investment advice within the meaning of the Securities and Exchange Board of India (Investment Advisers) Regulations, 2013, as amended from time to time
• Act as a Portfolio Manager, Co-investment Portfolio Manager, or Discretionary Portfolio Manager as defined under SEBI (Portfolio Managers) Regulations, 2020, as amended from time to time
• Provide research analysis as defined under SEBI (Research Analysts) Regulations, 2014, as amended from time to time, for the purpose of buying or selling securities
• Act as an Independent Research Analyst or Fund Manager as defined under SEBI (Research Analysts) Regulations, 2014, as amended from time to time
• Offer Portfolio management services
• Make any recommendation, endorsement, solicitation, or offer to buy, sell, or hold any securities or financial instruments
• Provide any form of financial planning or wealth management service
• Take into account any User's specific investment objectives, financial situation, or risk tolerance

StockTrendz AI™ is not registered with SEBI as an Investment Adviser, Research Analyst, Portfolio Manager, broker, or intermediary. All data, signals, patterns, outputs, or analysis displayed or made available through this platform are generated through automated algorithms and data models and are provided on an "as-is" and "as-available" basis. Such outputs do not constitute verified financial advice.

No fiduciary relationship is created between the User and StockTrendz AI™ by virtue of access to or use of the Service.

Users are solely responsible for their investment decisions and must conduct independent due diligence. Users are strongly advised to consult a SEBI-registered investment adviser or other qualified financial professional before making any investment decision.

Investments in securities markets are subject to market risks, including possible loss of principal.

4. No Liability for Financial or Monetary Loss

4.1 User's Sole Responsibility: All trading and investment decisions made by the User based on any data, analysis, charts, indicators, patterns, screener results, sector analysis, or any other information provided or made available through the Platform are undertaken entirely at the User's own risk and sole discretion.

The User acknowledges that StockTrendz AI™ does not provide recommendations, does not influence or control trading decisions, and does not participate in the execution of any transaction. The User is solely and exclusively responsible for all investment and trading decisions, for evaluating the accuracy, completeness, and relevance of any information prior to acting upon it.

4.2 No Guarantee of Returns: StockTrendz AI™ makes no representation, warranty, or guarantee — express or implied — regarding the accuracy, completeness, reliability, suitability, or profitability of any information, analysis, or signal provided on the Platform. Past technical patterns do not guarantee future results. Securities markets involve inherent risks, and the value of investments can go down as well as up.

4.3 Absolute Disclaimer of Monetary Loss: StockTrendz AI™, its directors, officers, employees, partners, agents, affiliates, and data providers shall not be held liable — under any circumstances whatsoever — for:

• Any direct, indirect, incidental, special, consequential, or punitive financial or monetary loss
• Loss of profits, revenue, capital, goodwill, opportunity, anticipated gains, or investment
• Loss arising from reliance on any chart pattern, signal, indicator, scanner result, sector analysis, data output, or any other data displayed through the Platform
• Losses resulting from market volatility, incorrect data, system downtime, delayed data, interpretation, technical malfunction, cyber events, or technical inaccuracy, or force majeure events
• Any losses arising from trades or investments executed based on information obtained through the Platform
• Losses arising from third-party data sources or API providers
• Trading losses or investment losses of any nature

4.4 Third-Party Data Disclaimer: Market data displayed on the Platform may be sourced from third-party providers, including but not limited to Zerodha KiteConnect and other APIs. StockTrendz AI™ does not control such data sources and does not guarantee the accuracy, timeliness, completeness, or continuous availability of such data. Users acknowledge that data may be delayed, inaccurate, interrupted, or temporarily unavailable without notice.

By using this Platform, the User expressly acknowledges and agrees that all investment decisions involve risk, StockTrendz AI™ bears no responsibility or liability for any monetary loss, financial damage, or loss of profit of any kind, and that the User is solely responsible for their investment decisions and their consequences. The User waives any claims against StockTrendz AI™ arising out of trading or investment decisions made using the Platform.

5. Account Responsibilities

The User is solely responsible for all activities, acts, and omissions that occur under their account, whether authorised or unauthorised. The User agrees to:

• Provide accurate, current, and complete registration information and promptly update such information if it changes
• Maintain the confidentiality and security of all login credentials, passwords, and other authentication details
• Notify us immediately of any suspected or actual unauthorised access, breach, or misuse of the account at support@stocktrendz.in
• Not share, assign, sell, transfer, sublicense, or otherwise permit any third party to access or use the account
• Not create multiple accounts or attempt to circumvent subscription limits, technical restrictions, suspensions, access limitations, or bans
• Use the Platform strictly in compliance with all applicable laws and regulations, including but not limited to the Information Technology Act, 2000 and SEBI regulations (as amended from time to time)

The Entity reserves the right to suspend, restrict, or terminate access to the account at its sole discretion in the event of any breach of these Terms and Privacy Policy.

6. Permitted & Prohibited Use

The Service is provided solely for lawful, non-commercial research and educational purposes, subject to compliance with these Terms. The User agrees not to, directly or indirectly:

• Use the Platform for any purpose that violates any law or regulations, including but not limited to the Information Technology Act, 2000, SEBI regulations, or Prevention of Money Laundering Act, 2002, or any other law
• Engage in any activity that may constitute market abuse, market manipulation, insider trading, front running, unlawful solicitation, or any activity prohibited under SEBI regulations or other securities laws
• Attempt to gain unauthorised access to any part of the Platform, server, systems, networks, databases, APIs, or its infrastructure
• Reverse engineer, decompile, disassemble, copy, replicate, modify, or create derivative works of any portion of the Service
• Use automated bots, scrapers, data mining scripts, or similar technologies to extract, harvest, or monitor data without prior written consent
• Circumvent, disable, or interfere with security features, usage limitations, subscription controls, or technical protections
• Transmit viruses, malware, or any other harmful, disruptive, or malicious code
• Resell, sublicense, commercially exploit, redistribute, or provide access to the Service or its outputs to any third party without written authorisation
• Use the Service to conduct or facilitate market manipulation or any activity prohibited by SEBI
• Use the Platform's outputs to provide investment advice, research services, trading signals, or financial services to third parties
• Misrepresent the Platform's outputs as verified, endorsed, or guaranteed financial advice
• Publish, share, or distribute any output of the Service as investment advice to third parties

The Entity reserves the right to investigate suspected violations and to suspend, restrict, or permanently terminate access without prior notice where misuse is reasonably suspected.

7. Subscriptions & Billing

Paid plans are offered on a recurring monthly or annual basis and are billed in Indian Rupees (INR) as selected at the time of purchase.

By subscribing to a paid plan, the User authorises StockTrendz AI™ and its designated payment service providers to automatically charge the applicable subscription fees, taxes (including GST), and any other applicable charges to the selected payment method on a recurring basis until the subscription is cancelled.

All payments are processed through third-party payment gateways compliant with RBI guidelines. StockTrendz AI™ does not store complete payment instrument details, except as permitted under applicable law.

Subscription fees are billed in advance for each billing cycle and are non-refundable except as expressly provided in the Refund Policy or as required under applicable consumer protection laws, including the Consumer Protection Act, 2019.

The User may cancel the subscription at any time through their account settings. Cancellation shall take effect at the end of the current billing period, and no prorated refunds shall be provided for any unused portion of the subscription period unless required by law.

StockTrendz AI™ reserves the right to revise subscription pricing. Any pricing changes shall be communicated at least 30 days in advance and shall take effect at the next renewal cycle.

In the event of failed, declined, or delayed payment, StockTrendz AI™ reserves the right to suspend or terminate access to the Service until outstanding amounts are paid.

8. Intellectual Property

All rights, title, and interest in and to the Service, including without limitation all software, source code, object code, algorithms, artificial intelligence models, designs, content, trademarks, service marks, trade names, logos, and underlying technology (collectively, "Platform Materials") are and shall remain the property of StockTrendz AI™ or its licensors.

The Platform Materials are protected under the Copyright Act, 1957 and other applicable Indian intellectual property laws.

Subject to compliance with these Terms, StockTrendz AI™ grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for lawful personal and non-commercial purposes.

The User retains ownership of data uploaded by them to the Platform. By uploading any data, the User grants StockTrendz AI™ a limited, non-exclusive, royalty-free licence to host, process, store, and use such data solely for the purpose of providing and improving the Service.

All outputs — including chart patterns, screener results, visualisations, and algorithmic displays generated by the Platform — constitute part of the Service and remain the intellectual property of StockTrendz AI™. The User is granted a limited right to view and use such outputs for personal use only, subject to these Terms.

The User shall not copy, reproduce, republish, modify, distribute, transmit, display, perform, create derivative works from, scrape, extract, commercially exploit, or otherwise use any portion of the Service or Platform Materials without prior written consent.

Any feedback, suggestions, or ideas submitted by the User regarding the Service may be used by StockTrendz AI™ without restriction or compensation.

These intellectual property provisions shall survive termination of the User's access to the Service.

9. Termination

StockTrendz AI™ reserves the right, at its sole discretion, to suspend, restrict, or terminate the User's account and access to the Service, with or without prior notice, if:

• The User breaches or is suspected of breaching these Terms
• The User engages in fraudulent, unlawful, abusive, or prohibited conduct
• The User's activities expose the Platform to legal, regulatory, cybersecurity, reputational, or financial risk
• Required by law, regulatory authority, or governmental order
• There is non-payment of applicable subscription fees

StockTrendz AI™ shall not be liable for any loss, damage, or consequences arising from suspension or termination of access.

Upon termination:

• The User's right to access and use the Service shall cease immediately
• Any outstanding payment obligations shall remain due and payable
• No refunds shall be provided except where required by applicable law

The User may request account deletion by contacting the Company through the designated contact details. Deletion requests shall be processed in accordance with applicable data protection laws; however, the Company may retain certain information as required for legal, regulatory, accounting, or security purposes.

Provisions of these Terms that by their nature are intended to survive termination — including but not limited to intellectual property rights, limitation of liability, indemnity, governing law, and dispute resolution — shall survive termination.

10. Limitation of Liability

To the fullest extent permitted under applicable Indian law, the total aggregate liability of StockTrendz AI™, its Directors, Officers, Partners, affiliates, licensors, agents, and service providers arising out of or relating to these Terms or the use of (or inability to use) the Service shall not exceed the subscription fees actually paid by the User to StockTrendz AI™ during the three (3) months immediately preceding the claim.

This limitation shall apply irrespective of the form of action, whether in contract, tort (including negligence), strict liability, statutory liability, misrepresentation, or otherwise, and shall apply even if any limited remedy fails of its essential purpose.

To the fullest extent permitted by law, StockTrendz AI™ shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages whatsoever, including but not limited to:

• Loss of profits, revenue, capital, opportunity, or anticipated savings
• Trading or investment losses
• Loss of data, goodwill, or business interruption
• Damages arising from third-party data providers, APIs, service interruptions, cyber incidents, or technical failures

Whether or not StockTrendz AI™ has been advised of the possibility of such damages.

The User agrees that any claim or cause of action arising out of or relating to the Service must be brought within one (1) year from the date the cause of action arises, failing which such claim shall be permanently barred, to the extent permitted by law.

Nothing in these Terms shall exclude or limit liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability which cannot be excluded or limited under applicable Indian law

If any portion of this limitation of liability is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. Indemnification

The User agrees to indemnify, defend, and hold harmless StockTrendz AI™, its directors, officers, employees, affiliates, licensors, data providers, partners, agents, and representatives (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, investigations, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees and costs of enforcement) arising out of or relating to:

• (a) The User's access to, use of, misuse of, or reliance upon the Service
• (b) Any act or omission by the User in connection with the Service
• (c) The User's violation or alleged violation of these Terms
• (d) Any investment or trading decisions made by the User based on information obtained from the Platform
• (e) The User's violation of any applicable law, regulation, or SEBI guidelines
• (f) Infringement or violation of the rights of any third party, including intellectual property, privacy, or contractual rights
• (g) Any regulatory inquiry, enforcement action, or governmental proceeding arising from the User's conduct

StockTrendz AI™ reserves the right, at its own expense, to assume exclusive control of the defence and settlement of any matter subject to indemnification, and the User agrees to cooperate fully in such defence.

The User shall not settle any claim that imposes liability or obligations on StockTrendz AI™ without prior written consent.

This indemnification obligation shall survive termination of these Terms and the User's access to the Service.

12. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the name and contact details of our Grievance Officer are provided below. StockTrendz AI™ reserves the right to request additional information or documentation necessary to process and resolve any grievance.

13. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

The Parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Service through good faith negotiations. If the dispute is not resolved within thirty (30) working days from the date of written notice of dispute, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time).

The arbitration shall be conducted by a sole independent and impartial arbitrator mutually appointed by the parties. If the parties fail to mutually agree upon the appointment of the arbitrator within thirty (30) days, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be India. The arbitration proceedings shall be conducted in the English/Hindi language. The award of the arbitrator shall be final and binding on the parties.

Subject to the foregoing arbitration clause, the courts in India shall have exclusive jurisdiction over matters arising out of or relating to these Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court or authority of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall remain in full force and effect and shall not be affected by the invalid or unenforceable provision.

15. Beta / Experimental Features

Certain features of the Platform may be designated as experimental, beta, or preview features. Such features are provided on an "as-is" basis without any warranty, express or implied. StockTrendz AI™ makes no representation regarding the stability, accuracy, or continued availability of beta features and reserves the right to modify, suspend, or discontinue them at any time without notice or liability to the User.
